The six topics covered.
While running the business
Remuneration
Choosing between salary, dividends and retained earnings.
Company cash
Organising and investing surplus cash.
It is organised according to its horizon: what remains available, and what can be invested for longer, with the associated risks.
Investments
Diversifying beyond the business.
A business owner’s wealth often depends on the business. A diversified personal portfolio reduces that dependence.
Protection
Protecting the business owner, their partners and those close to them.
Death and disability cover, the spouse, agreements between partners: what happens to the business owner affects both the business and the family. These matters are arranged in advance.
Around the sale
Preparing the sale
Planning the sale ahead to preserve its net value.
Reinvesting after the sale
Structuring the reinvestment of the sale proceeds.
Selling your business: Zolias Cession.
Two mechanisms are explained there:
- apport-cession (art. 150-0 B ter CGI): contributing your shares to a holding company before selling them makes it possible, subject to conditions, notably reinvestment, to defer the tax on the capital gain;
- the Dutreil pact: an undertaking to retain the shares which, subject to conditions, reduces the tax due when a family business is passed on.
